Domain Name Registration Agreement

PLEASE READ THIS AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS AND REMEDIES.

1. OVERVIEW

This Domain Name Registration Agreement (this "Agreement") is signed between gyro.com.tr (gyro.com.tr is a Gyro Informatics Advertising and Consulting Services company. In this agreement, the expressions written as gyro.com.tr refer to gyro.cloud and Gyro Informatics company.) and you, and is valid as of the date of electronic acceptance. This Agreement sets forth the terms and conditions for your use of gyro.com.tr Domain Name Registration Services ("Domain Name Registration Services" or "Other Services"). "We", "us" or "our" means gyro.com.tr. "You", "your", "User" or "customer" means any person or entity that accepts this Agreement. Unless otherwise specified, nothing in this Agreement shall be construed as a third party right or benefit.

Your electronic acceptance of this Agreement signifies that you have read, understand, agree to, and agree to be bound by the terms of this Agreement, which incorporates by reference each of (i) gyro.com.tr's User Agreement, (ii) any agreements, guidelines, policies, practices, procedures, registration requirements or operational standards of any top-level domain ("TLD") that you may register in any domain name ("Registration Policies"), and (iii) any plan limitations, product disclaimers or other restrictions presented to you on the Domain Name Registration Services landing page of the gyro.com.tr website.

(i) You acknowledge and agree that Tukticaret.net may, at its sole discretion, change or modify this Agreement and any policies or agreements incorporated into this Agreement at any time, and that such changes and modifications shall be effective immediately upon posting on the Site, and (ii) your use of this Site or the Services found at this Site after such changes or modifications are made shall be deemed to constitute your acceptance of this Agreement as last revised. If you do not accept this Agreement as last revised, do not use (or continue to use) this Site or the Services found at this Site. gyro.com.tr may occasionally notify you via e-mail of changes to this Agreement. Therefore, you are required to keep your user account information, including your e-mail address (“User Account”), up to date. gyro.com.tr assumes no responsibility for your failure to receive email notifications due to an incorrect or outdated email address. Gyro (gyro.com.tr) is a domain name registrar accredited by the Internet Corporation for Assigned Names and Numbers ("ICANN"). As a domain name registrar accredited with ICANN, you acknowledge and agree that Gyro (gyro.com.tr) is bound by the ICANN agreement. You acknowledge and agree that gyro.com.tr may modify this Agreement to ensure compliance with its agreement with ICANN and other terms and conditions set forth by (i) ICANN and/or (ii) the TLD or country code top level domain name ("ccTLD") in question. As used in this Agreement, "registry", "Registry", "registry operator" or "Registry Operator" means the registry applicable to the TLD or ccTLD in question.

2. PROVISIONS SPECIFIC TO ALL REGISTRANTS

Unless otherwise stated, the provisions in Section 2 generally apply to all TLDs we offer. Provisions specific to a TLD or ccTLD (as well as any posted Registry Policies) are defined later in this Agreement.

Registry Policies. You acknowledge that you agree to all Registry Policies (defined in this Agreement) that apply to your domain name registration (at all levels). It is your responsibility to review all applicable registry policies by going to the applicable tld site before registering a domain name. You can find the registry policy for each tld by going to the tld link listed here . Notwithstanding anything to the contrary in this Agreement, the Registry Operator for the TLD in which the domain name is registered is and shall remain a third party beneficiary of this Agreement. The parties hereto acknowledge and agree that the Registry Operator has been granted third party beneficiary rights and that the Registry Operator has acted in reliance on its third party beneficiary rights under this Agreement by agreeing with gyro.com.tr to be the domain name registrar for the relevant TLD. The Registry Operator’s third party beneficiary rights shall not be terminated by any termination of this Agreement.
Registration Requirements. The eligibility (e.g., residency for .JP, .EU, etc.) and validity of any TLD or ccTLD (e.g. DNS validation) or other authentication requirements as a condition to registering a domain name in the TLD, by submitting an application or registering or renewing your domain name, you represent and warrant that (a) all information provided for the registration or renewal of the domain name (including all supporting documentation, if any) is accurate and complete and not misleading in any way, and that the application is made in good faith; (b) you meet and will continue to meet the eligibility criteria set forth in the Registry Policies for the applicable TLD during the term of the domain name registration; (c) you have not previously submitted an application for the domain name to another domain name registrar using the same eligibility criteria that such registrar rejected (if applicable); (d) you acknowledge and agree that, even if the domain name is accepted for registration, your ability to register the domain name may be hindered by others claiming to have authority over the domain name; and (e) you acknowledge and agree that the Registry or registrar may cancel the domain name registration if any of the required warranties are found to be false, incomplete or misleading.
Ownership. You acknowledge and agree that the registration of a domain name does not create any ownership interest in the name used as the domain name or in the domain name registration for you, the registrar or any other person, and that the entry of a domain name with the Registry shall not be construed as evidence or ownership of the domain name registered as the domain name. You will not transfer or attempt to transfer any ownership interest in any domain name registration in any manner, or transfer or attempt to transfer a domain name registration as security for the purpose of transferring or otherwise encumbering or attempting to encumber. When the domain name is registered, it is automatically directed to the free parking page. DNS records are recorded as ns1.gyroserver2.com, ns2.gyroserver2.com. You can change the DNS information at any time from the gyro.com.tr user management interface.
ICANN Requirements. You also agree to be subject to ICANN’s requirements, standards, policies, procedures and practices, which each applicable Registry Operator is responsible for monitoring in accordance with the Registry Agreement between ICANN and itself and any other arrangements between ICANN and itself.
Registry Indemnification You agree to indemnify, defend and hold harmless the Registry Operator, Registry Service Provider and their subcontractors, affiliates, business partners, divisions, shareholders, directors, officers, employees, accountants, attorneys, insurers, agents, predecessors, successors and assigns from and against any and all claims, demands, damages, losses, costs, expenses, causes of action or other liabilities of any kind, known or unknown, including reasonable legal and attorneys’ fees, arising out of or in connection with your domain name registration, including, but not limited to, use, registration, extension, renewal, deletion and/or transfer and/or breach of any applicable terms or conditions or provisions of the registration. You agree to hold (within 30 days of the claim) any such indemnified claim without the prior written consent of the Registrar or Registry Operator, which shall not be unreasonably withheld, and you agree that this indemnification obligation shall survive any termination or expiration of this Agreement for any reason. In no event shall the registry operator be liable to you or any other person for any direct, indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits or goodwill, tort (including negligence), breach of express or implied warranties, breach of this Agreement or its incorporated agreements and policies, your inability to use the domain name, loss of data or files, regardless of whether the liability is contractually agreed upon and even if the registry operator has been advised of the possibility of damages.
Regulated TLDs For domain name registrations in any “Regulated” TLD, you acknowledge and agree that your registration is subject to the following additional requirements: (a) you must comply with all applicable laws, including those related to privacy, data collection, consumer protection (including in connection with deceptive conduct), fair credit, debt collection, organic farming, disclosure of data and financial disclosures; (b) if you collect and store sensitive health and financial data, you must provide reasonable and appropriate security, as defined by applicable law, commensurate with the provision of such services; You must take precautions. Highly Regulated TLDs. In addition to the requirements for Regulated TLDs, registration in Highly Regulated TLDs is subject to the following requirements: (a) you provide contact information for the relevant regulatory or Industry self-regulatory bodies’ primary workplaces, as well as administrative contact information for reporting complaints or reports of registration abuse, which must be kept up to date; (b) you represent that you have the necessary authorizations, privileges, licenses and/or other relevant credentials for your participation in the industry associated with such Highly Regulated TLD; and (c) you provide assurance that you continue to comply with relevant regulations and license terms by reporting any material changes to the validity of your authorizations, privileges, licenses and/or other relevant credentials for your participation in the industry associated with such Highly Regulated TLD, and that you generally continue to operate in the areas of interest of the consumers they serve. Highly Regulated TLDs include: .abogado, .attorney, .bank, .bet, .bingo, .casino .charity (and IDN equivalent xn--30rr7y), .cpa, .corp, .creditcard, .creditunion .dds, .dentist, .doctor, .fail, .gmbh, .gripe, .hospital, .inc, .insurance, .lawyer, .lifeinsurance, .llc, .llp, .ltda, .medical, .mutuelle, .pharmacy, .poker, .university, .sarl, .spreadbetting, .srl, .sucks, .surgery .university, .vermogensberater, .vesicherung, and .wtf. For .doctor , registrants who represent themselves as licensed medical practitioners must be able to demonstrate to the Registry and Registrar, upon request, that they have a valid license.
Special Security TLDs. In addition to the requirements for Registrar and Highly Regulated TLDs, by registering any domain name within a “Special Security” TLD, you agree to take reasonable steps to avoid giving the false impression or falsely implying that you or your business are affiliated with, sponsored by, or endorsed by the military forces of one or more countries or governments, when no such affiliation, sponsorship, or endorsement exists. Special Security TLDs include: .army, .navy, .airforce
Third Party Beneficiary. Notwithstanding any other provision of this Agreement, the Registry Operator of the TLD in which the domain name is registered is and shall be a declared third party beneficiary of this Agreement. The parties hereto acknowledge and agree that the Registry Operator’s third party beneficiary rights have been granted and that the Registry Operator has acted in reliance on its third party beneficiary rights under this Agreement by agreeing with Gyro (gyro.com.tr) to be the domain name registrar for the relevant TLD. The Registry Operator’s third party beneficiary rights shall not be terminated by any termination of this Agreement.
Variable and Non-Uniform Pricing. You acknowledge, understand, and agree that certain domain names in certain TLDs are designated by the Registry Policies as having variable pricing (e.g., standard vs. premium names) and/or may have non-uniform renewal pricing (the renewal fee for a domain name registration may differ from other domain names in the same TLD, e.g., the renewal fee for one domain name may be TRY300 while the renewal fee for a different domain name may be TRY100).
Privacy or Proxy Use Limitation. You acknowledge and agree that you may not be permitted to purchase exclusive or proxy TLD registrations for certain TLDs, as determined by the Registry Policies. In such cases, you must complete all TLD registrations using personal information that you represent and warrant is current, accurate, and complete.

3. FEES AND PAYMENTS

(A) GENERAL TERMS, INCLUDING AUTOMATIC RENEWAL TERMS

You agree to pay all fees and prices due for all Services purchased or obtained at the time you order Services on this Site. gyro.com.tr prices at any time The Company expressly reserves the right to change or modify its prices and fees, and such changes or modifications will be posted online on this Site and will be effective without additional notice to you. If you have purchased or acquired the Services for a period of months or years, the changes and modifications to prices and fees will be effective when such Services renew as further described below.

Unless otherwise stated (such as for the reasons set forth in Section 2(x) above), the renewal price for all domain names in the TLD will be the same as the price listed when you search for and select a domain name and the price displayed in the cart prior to purchase. For example, if the list price is $40 and no different renewal price is specified, the renewal price will also be $40. Similarly, if the sale price of a domain name is $20 and the list price (with a strikethrough) is $40, the renewal price will be $40. The renewal price may be subject to change prior to the actual renewal date.

(B) DOMAIN NAME RENEWAL CONDITIONS

When you register a domain name, you have three renewal options: (i) "Automatic Renewal" (ii) "Automatic renewal with regular payment" and (iii) "Manual Renewal":

Automatic Renewal. Automatic Renewal is the default setting. Therefore, unless you choose the Regular payment option, gyro.com.tr will register you for Automatic Renewal. Domain names are automatically renewed for 5 days, during which you can renew the domain name at the gyro.com.tr renewal price. Domain names that are not renewed by the customer are deleted and enter the redemption period. gyro.com.tr will send reminder emails to the customer for renewal before the expiration date of the domain name. Deleted domain names can be recovered with the restore price. The restore price is higher than the Domain name registration and renewal price. gyro.com.tr is not liable to pay the difference incurred in the restoration of domain names that have expired their 5-day automatic renewal period and are deleted because they were not renewed by the customer. It is the customer's responsibility to follow the domain name expiration dates and to renew the domain name. For all domain names that are due for renewal, the Payment Method you wish to use with gyro.com.tr will be charged according to the gyro.com.tr fees then in effect. For example, if you have chosen to register your domain name for one (1) year, gyro.com.tr will automatically renew it for another (1) year. If you have chosen to register your domain name for (2) years, gyro.com.tr will automatically renew it for two (2) years, and the renewal procedure will continue in this manner.
Automatic renewal with automatic payment. If you register for the automatic renewal service with auto-payment, gyro.com.tr will automatically renew any domain name that is due for renewal for a period equivalent to the term of your initial domain name registration, and will charge you for all domain names that are due for renewal according to the then-current gyro.com.tr fees for the automatic renewal service with auto-payment that you registered with gyro.com.tr. For example, if you have chosen to register your domain name for one (1) year, gyro.com.tr will automatically renew it for another (1) year. If you have chosen to register your domain name for (2) years, gyro.com.tr will automatically renew it for another two (2) years, and so on.
Manual Renewal. If you choose to turn off auto-renewal and cancel the product effective at the end of the then-current term (such as by canceling the domain name registration), you may choose to manually renew the domain name at any time prior to the domain name expiration date by logging into your Account Manager and manually applying the renewal or by calling customer service (if you wish to have the domain name renewed). If you fail to manually apply the renewal prior to the expiration date, the domain name will be canceled and you will no longer be able to use it.

All renewals will be subject to the terms of this Agreement, as amended from time to time, and You acknowledge and agree to be bound by the terms of this Agreement (as amended) for all renewed domain names. There are no refunds for domain name renewals. If for any reason we are unable to automatically renew the domain name through the selected renewal option, you may automatically renew your domain name registration for a period less than your initial registration period, sufficient time for the transaction to be successful. If for any reason gyro.com.tr is unable to charge your registered Payment Method and you fail to respond to our notifications, your domain name registration will expire. If you use a credit card, it is your responsibility to keep your Payment Method information current, including the expiration date.

Certain ccTLDs (.am, .at, .be, .br, .ca, .cn, .com.cn, .net.cn, .org.cn, .de, .eu, .fm, .gs, .it, .jp, .ms, .nu, .nz, .co.nz, .net.nz, .org.nz, .tc, .tk, .tw, .com.tw, .org.tw, .idv.tw, .uk, and .vg), renewal billing is done when the domain name renewal is performed.

For certain ccTLDs (.am, .at, .be, .ca, .cn, .com.cn, .net.cn, .org.cn, .de, .eu, .fm, .gs, .it, .jp, .ms, .nu, .nz, .co.nz, .net.nz, .org.nz, .tc, .tk, .tw, .com.tw, .org.tw, .idv.tw, .uk, and .vg), renewal is done, or if the product was previously canceled, it must be done manually no later than the 20th of the month prior to the expiration date, or your domain name will be placed in non-renewal status. For some ccTLDs (.es), renewals must be processed no later than the new day before the expiration date, or your domain name will be placed in non-renewal status. When a domain name is in non-renewal status, you can only renew the domain name by calling the G gyro.com.tr customer service phone number and requesting a domain name renewal. You cannot renew your domain name through your Account Manager. If you fail to manually renew a canceled product prior to the expiration date, the domain name will be canceled and you will no longer be able to use it.

You agree that gyro.com.tr will not be held responsible for any canceled domain names that you fail to renew within the time periods provided in this Agreement. If you fail to renew your domain name on time under any circumstances, additional fees may apply. If you have signed up for privacy services, or any other similar services, along with your domain name registration, these services will automatically renew when your domain name registration is due for renewal, unless you cancel in advance, and you will be charged for any additional applicable renewal fees.

If you fail to renew your domain name within the time periods specified in this Agreement, you agree that gyro.com.tr may, at its sole discretion, renew your expired domain name on your behalf. If gyro.com.tr decides to renew your expired domain name on your behalf, you have a Renewal Grace Period during which you may pay gyro.com.tr fees for renewal and keep your domain name. The Renewal Grace Period is currently five (5) days but is subject to change under the terms of this Agreement. For certain ccTLDs (.am, .at, .be, .cn, .com.cn, .net.cn, .org.cn, .de, .eu, .fm, .gs, .it, .jp, .ms, .nu, .nz, .co.nz, .net.nz, .org.nz, .tc, .tk, .tw, .com.tw, .org.tw, .idv.tw, .uk, and .vg), there is no Grace Period for Renewal after the domain name expiration date. If you fail to pay gyro.com.tr for renewal during the Grace Period, your domain name will be Suspended and marked for deletion. Thereafter, you may have a grace period of up to 30 days to use your domain name, provided that your domain name is not subject to an expiring domain name auction bid and you pay gyro.com.tr's redemption fee. The recovery fee is currently approximately $80 and is subject to change under the terms of this Agreement. If you do not recover your domain name before the daily recovery period ends, gyro.com.tr may, at its sole discretion, delete your domain name or transfer it to another registrant on your behalf. During the recovery period, your domain name may be parked.

In the event that your domain name is deleted, the Registry offers a 30-day Redemption Period during which you may pay a redemption fee to gyro.com.tr and continue to use your domain name. The recovery fee is currently approximately $80 and is subject to change under the terms of this Agreement. If you do not continue to use your domain name by the end of the Registration Grace Period, it will be made available by the Registry on a first-come, first-served basis.

Renewal Grace Periods and Payment and Recovery Grace Periods vary for different ccTLDs.

(C) FREE PRODUCT TERMS

If you are offered free products with a domain name registration, you acknowledge and agree that such free products are only available with valid purchases and will terminate if the domain name is canceled or deleted. For free domain names, you acknowledge and agree that you will not change the account associated with such free domain name for five (5) days after registration. If a free domain name is offered with the registration of another domain name and the paid domain name registration is unsuccessful, we may, at our discretion, delete the registration of the free domain name or refund the difference between the amount paid and the value of the free domain name. Failure to register in connection with promotional offers may result in an adjustment between the registered domain name fee and the value of the discounted product or the deletion of the free or discounted product, at our sole discretion.

4. TERMS OF AGREEMENT, TRANSFERS, DOMAIN NAME TEST

The terms of this Agreement apply to you as long as you have a registered domain name gyro.com.tr will remain in full force and effect.

You agree not to transfer any domain name registered with gyro.com.tr to another domain name registrar during the first sixty (60) days after the initial registration date. You agree that you may not transfer any domain name for ten (10) days following an Account Change.

You agree that gyro.com.tr will not be bound by (i) any representations made by third parties that you may use to purchase services from gyro.com.tr or (ii) any general statements published on the gyro.com.tr website or in gyro.com.tr promotional materials.

5. CURRENT INFORMATION, USE OF INFORMATION AND EXPIRATION

You agree to notify gyro.com.tr within five (5) business days if any of the information you provide as part of the application and/or registration process changes. It is your responsibility to keep this information current and accurate. Your failure to initially and continuously provide accurate and reliable information to gyro.com.tr for any reason will be considered a material breach of this Agreement and will be grounds for the suspension and/or cancellation of the domain name. Your failure to respond to any inquiry made by gyro.com.tr to determine the validity of the information you have provided within five (5) business days will also be considered a material breach of this Agreement and will be grounds for the suspension and/or cancellation of the domain name. You agree to keep a copy of the receipt for your domain name purchase.

You agree that the following contact information is required for each domain name registered by you: postal address, email address, telephone number, and, if applicable, a fax number for the Registered Name Holder, and the same contact information for the technical contact, administrative contact, and billing contact, if different from the Registered Name Holder.

You acknowledge and agree that the domain name registration may share this information, in whole or in part, with the registry operator for the purposes of domain name registry administration, which may require the transfer of this information across international borders, for example, between the US and the EU, and nbsp;(including other uses consistent with our Privacy Policy). This information must also be made publicly available through Whois as required by ICANN, and the registry operator may be required to make this information publicly available through Whois. Both gyro.com.tr and the registry operator may be required to archive this information in a third-party escrow service. You hereby consent and authorize all such requirements and disclosures. You also acknowledge and agree that if you are providing information to a third party, you have notified the third party of the disclosure and the purpose of the disclosure, and have obtained the third party's consent to such disclosure. The Registry will not process the data in a manner inconsistent with this Agreement. The Registrar will take reasonable measures to protect the data from loss or misuse.

For each domain name registered by you, you agree that the following information will be made publicly available in the Whois directory as determined by ICANN Policy and may be sold in bulk as provided in the ICANN agreement:

Domain name;
Your name and mailing address;
Name, email address, mailing address, telephone and fax numbers for appropriate technical and administrative contacts;
Internet protocol numbers for primary and secondary name servers;
Related names of name servers; and
Original date of registration and expiration date.
Name of primary name server and secondary name server.
Identification of the domain name registrar.

To the extent permitted by ICANN You acknowledge that gyro.com.tr may benefit from publicly available information provided during the registration process. Information regarding the possible uses of personal information in accordance with ICANN policy if you engage in domain name resale activities that you have agreed to provide to the persons from whom you have obtained personal information. You also agree to obtain the consent of such persons for such use of the information they provide and proof of such consent.

You acknowledge that gyro.com.tr has the right to publicly disclose and share certain information regarding the purchase and sale of domain names on the website, including, but not limited to, (a) the name of the domain name sold and purchased, (b) the price of the domain name sold and purchased, and (c) information regarding the time of sale or purchase.

Including rules or policies established by CIRA or any provincial or state government with the authority to establish rules or policies In order for us to comply with any existing or future rules or policies, you hereby grant us the right to disclose to third parties, through an interactive and publicly accessible registration database, the following information that you are asked to provide when applying for a domain name:

Domain names and subdomains registered by you;
Your organization name, type, and mailing address;
Names, positions, mailing addresses, email addresses, telephone numbers, and, if applicable, fax numbers of technical and administrative contacts for your domain name or subdomains;
The full host names and Internet protocol (IP) addresses of at least two (2) name server hosts (one primary and at least one secondary) for your domain name or subdomain. Up to six (6) name servers may be specified. If a host has more than one (1) IP address, use a comma-separated list;
The corresponding names of these name servers;
The date the record was first created; and
The date the registration expires.

We may need to make this information available to third parties in aggregate form. We may transfer or assign this information to CIRA or another third party at our discretion.

7. DOMAIN NAME TRANSFERS, RESALE PRACTICES

Initiating a transfer from gyro.com.tr to a new Domain Name Registrar requires the domain name to be taken out of its locked state. Once your domain name has been successfully transferred to gyro.com.tr, you may log in to your gyro.com.tr account at any time and remove the lock status.

If you are purchasing a domain name on behalf of a third party, you agree to inform your customers who may be acquiring a domain name through you using gyro.com.tr registration services that they are in fact registering their domain name through gyro.com.tr and that gyro.com.tr is an ICANN-approved domain name registrar. You agree not to make any representation that you are an ICANN-approved registrar or that you have superior access to the ICANN Domain Name Registry in any way. You also agree not to use the ICANN trademark logo in any of your promotional materials, including on your website.

You agree to obtain the consent of all your customers to the then-current version of this Agreement and to retain such consent for a minimum of three (3) years. If you require your customers to agree to additional terms and conditions that are not required by gyro.com.tr, you agree that such additional terms and conditions will not conflict with this Agreement or ICANN policies and procedures.

You acknowledge that gyro.com.tr does not grant you access to the registry links or registration access, and that you are not a registrar on your own. You also agree that you will not attempt to gain access to gyro.com.tr’s registry links or registration access. You agree to provide complete, accurate, and up-to-date information for inclusion in the records in accordance with ICANN requirements for each domain name owner to be included in the WHOIS database.

You agree to provide adequate customer support to your customers and to provide a means for them to communicate with you and to modify the information they provide as part of the domain name registration process. You must provide gyro.com.tr with the corrected or updated information within five (5) business days of receiving such information so that gyro.com.tr can update its records. You must keep copies of all correspondence between you and your customers and share them with gyro.com.tr upon request.

8. YOUR LIABILITIES, SUSPENSION OF SERVICES, BREACH OF CONTRACT

You represent and agree that, to the best of your knowledge, the registration of the domain name or its direct or indirect use does not violate the legal rights of any third party. You will comply with all applicable laws, including, but not limited to, those relating to privacy, data collection, consumer protection, consumer protection, fair credit, debt collection, organic farming, data disclosure, and financial disclosures. If you collect and maintain health and financial data, you must implement reasonable and appropriate security measures commensurate with those services as defined by applicable law. You represent that you have the necessary authority, privilege, license, and/or other relevant qualification to participate in the industry for the associated registry tld string. You will notify us of any material change in the validity of your authorization, privilege, license and/or other relevant qualification. You will indemnify the domain name registrar and registry operator and their directors, officers, employees and agents from and against all claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees and expenses) arising out of or related to the domain name registration. You will indemnify and hold harmless the Company for any and all claims, damages, and expenses (including, without limitation, principal fees and expenses). This obligation shall survive the expiration or termination of this Agreement or the domain name registration.

In addition to other events set forth in this Agreement, you also agree that:

Your use of all services provided by gyro.com.tr shall be subject to cancellation or suspension in the event of an unresolved breach of this Agreement or in the event that any policy then in effect or hereafter implemented by ICANN requires suspension or cancellation;
Your registration of any domain name shall be subject to suspension, cancellation or transfer (a) pursuant to any ICANN-implemented specification or policy for the correction of errors in the domain name registration by gyro.com.tr or the registry operator; or (b) pursuant to any ICANN-implemented specification or policy for the resolution of disputes relating to any domain name, or pursuant to any gyro.com.tr procedure consistent with any ICANN-implemented specification or policy.

gyro.com.tr and the registrar shall have sole discretion to: You acknowledge and agree that gyro.com.tr or the domain name registrar reserves the right, in its sole and unlimited discretion, to refuse, cancel or transfer any registration or transaction or to place any domain name on lock, suspension or similar status as it deems necessary: (i) to conform to specifications followed by any industry group generally recognized as authoritative with respect to the Internet (e.g., (i) to correct errors made by the registry or any registrar in connection with a domain name registration, (iii) in the event of non-payment of fees to the registrar, (iv) to protect the integrity and stability of the registrar, (v) to comply with any applicable court order, law, governmental order or requirement, requirement of law or dispute resolution process, (vi) to comply with applicable ICANN rules or regulations, including, without limitation, the registry agreement, (vii) to avoid any civil or criminal liability on the part of the registry operator as well as its business partners, affiliates, officers, directors and employees, (viii) pursuant to the terms of this Agreement, (ix) in the event of any unauthorized activity as described in Section 8 below, or (x) during the resolution of a dispute.

Your failure to fully comply with the terms and conditions of this Agreement and any gyro.com.tr rule or policy shall be deemed a material breach of this Agreement by gyro.com.tr, and gyro.com.tr may notify you in writing or gyro.com.tr may provide notification of such breach electronically (e-mail). If gyro.com.tr fails to provide tangible evidence that you are not in breach of your obligations within (10) business days, gyro.com.tr may terminate its relationship with you and take any corrective action available to gyro.com.tr in accordance with applicable law. Such corrective action may be taken without notice to you and may include, but is not limited to, the cancellation of the registration of any of your domain names and the services provided to you by gyro.com.tr. You will not receive any refund if your services are cancelled or terminated due to a breach.

The failure of gyro.com.tr to take action or notify you of any infringing activity shall not alter the fact that you are in breach or excuse the breach.

9. RESTRICTION OF SERVICES, RIGHT TO REJECT

If you host your domain name system (“DNS”) on gyro.com.tr servers or use our systems to redirect a domain, URL or other content to a system or site hosted elsewhere, or if your domain name is registered with gyro.com.tr, it is your responsibility to verify that gyro.com.tr servers are not overloaded. You may not use gyro.com.tr servers and your domain name as a source, intermediary, reply-to address or destination address for mail bombs, Internet packet flooding, packet corruption or other malicious attacks. Server hijacking or other security breaches are prohibited. gyro.com.tr reserves the right to disable your domain name from its DNS if gyro.com.tr determines that your site is the recipient of activity that threatens the stability of the network.

You agree that gyro.com.tr may, in its sole discretion and without liability to you, refuse to accept the registration of any domain name. gyro.com.tr may also, in its sole discretion and without liability to you, delete the registration of any domain name within the first thirty (30) days following the registration.

gyro.com.tr may refuse a registration or terminate an existing domain name within the first thirty (30) days following the registration. if gyro.com.tr deletes the registration, you will receive a refund for all fees paid to gyro.com.tr in connection with the canceled or rejected registration. If gyro.com.tr deletes the registration of a domain name used in connection with spam or morally objectionable activities, no refund will be given.

10. DOMAIN NAME ADD-ONS

Corporate Registration:Corporate registration allows you to display additional information about the business underlying your domain name, including, but not limited to, your fax number, street address, and business hours.

Expiration Synchronization. You acknowledge that the expiration synchronization service may only be used to synchronize the expiration of .com and .net domain names. This service cannot be used to synchronize domain names that are on a Registrar HOLD, Registrar HOLD or Pending Transfer status. You agree that the Service may only be used to advance the expiration of your domain names by a minimum of one (1) month and a maximum of ten (10) years, and only for a maximum period of twelve (12) months. Once domain names are synchronized with the Service, the new expiration date cannot be canceled. To prevent misuse of the Service or use as an alternative to renewal, you may only use this service once in a 12-month period. The Service may only be used on domain names that have not expired. In order to change the expiration again, you must first renew the domain name. You understand and agree that the Service may only be used to synchronize domain names where we are the registrar. Domain names that are not registered with us must be transferred in order to benefit from the Service.

Domain hunter. You acknowledge that an expired domain name will be subject to a twelve (12) day grace period, followed by a thirty (30) day grace period for recovery by payment, as mandated by ICANN. During this period, the current registrant may renew and maintain ownership of the domain name. We do not guarantee that your backorder will result in your acquisition of the domain name, and we expressly reserve the right to (a) reject additional backorders or (b) cancel existing backorders at any time for any reason. If your backorder is rejected or canceled, we agree that we will promptly refund any fees paid for such backorder.

In addition, the domain name may be subject to a pooling process before it becomes available for purchase. You understand that we and our registrar affiliates may use our services, including backordering. Therefore, the domain name may be registered with a different registrar but managed through your gyro.com.tr account. By using the Services, you will be able to, among other things:

Pre-order any domain name within the .COM, .NET, .US, .BIZ, .INFO, .ORG, .MOBI top-level domains. A pre-order of a domain name includes the price of a domain name registration for up to one year. If you successfully pre-order any domain name, you will be subject to the terms and conditions of the Domain Name Registration and related agreements, which are incorporated into this Agreement by reference.
Change your pre-order until you obtain a domain name. You will have the option to transfer the credit to a different domain name until you successfully obtain a domain name. We reserve the right to remove the credit if it is not used after three (3) years.
Select the domain name from the list of expired domain names that you wish to register. Each domain name you wish to backorder will include up to one year of domain name registration fees as set forth in subsection (i) above.
Monitor your currently registered domain names for changes in registrar, status, expiration date or name servers at no additional cost.
A subscription to Domain Name Alert Professional Edition or monitoring service, which allows you to monitor any currently registered domain name, regardless of registrar, to track status change history and identify multiple email notification addresses.

Premium Domain Names.

1. Service Description. The Premium Domain Name service (“Service”) is a service provided to facilitate the sale and purchase of registered domain names. We provide an authorization and transaction facilitation process. We are not an auctioneer or escrow agent. We do not own all of the domain names featured on the Website. Therefore, we have no control over the quality, security, or legality of the domain names listed. Domain names listed may be removed at any time by the seller or by us. We act as a transaction facilitator to help you make and receive payments to third parties. Escrow institution We are not u, we act as your intermediary at your direction and in accordance with your requests to use our Services where we act on your behalf. We do not use your funds for business expenses or other corporate purposes and will not return funds to their owners in the event of bankruptcy or any other event. You acknowledge that we are not a bank and that the Service is a payment processing service, not banking. You also acknowledge that we are not a trustee, fiduciary or custodian of your funds. In all transactions where the domain name is registered with us, domain names purchased through the Service may not be transferred from us to another registrar for a period of sixty (60) days from the date of change of ownership.

Transfer Verification The transfer verification service is provided to help you ensure that your domain name is kept safe. By choosing to use the Service, you are giving us an express and intentional request to transfer your domain name to another domain name registrar and to reject any attempts to transfer your domain name to another account unless you verify each request as described herein. You will provide us with a contact name, telephone number, and PIN for domain name transfer verifications. We will contact you when a domain name transfer is requested for a domain name in your account. When we receive a transfer request, we will call you to verify the transfer request. If we cannot reach you within seventy-two (72) hours of receiving the transfer request, the transfer will be denied. If you do not provide the correct PIN, the transfer will be denied. When we receive an account change request, we will call you to verify the change request. If we cannot reach you within seventy-two (72) hours of receiving the change request, the change will be denied. If you do not provide the correct PIN, the change will be denied. The availability of the Services is subject to the terms and conditions of this Agreement and each of our policies and procedures. During the term of this Agreement, we will use commercially reasonable efforts to provide certain portions of the Services twenty-four (24) hours a day, seven (7) days a week, and other portions of the Service during normal business hours. You acknowledge and agree that the Services may be inaccessible and inoperable from time to time for any reason, including, but not limited to: (i) hardware failures; (ii) routine maintenance procedures or repairs that we may perform from time to time; or (iii) causes beyond our reasonable control and not reasonably foreseeable by us, including, but not limited to, interruptions or failures of telecommunications or digital transmission links, malicious network attacks, network congestion, and other failures. You acknowledge and agree that we have no control over the continuous or uninterrupted availability of the Services.

Total/Premium DNS. Total DNS is a complete Domain Name System (DNS) tool that allows you to manage your DNS, keep your website and web-based applications available and functioning reliably. The Service is provided “as is” and “with all faults” and we assume no liability or responsibility for the same.

You further specifically acknowledge and agree that we have no responsibility or liability for any of the following:

Service interruptions due to periodic maintenance, repairs or replacement of parts of the gyro.com.tr Global Name Server Structure (defined below) as we may conduct from time to time;
Service interruptions due to custom scripting, coding, programming or configurations;
Service interruptions due to your installation of third-party applications;
Service interruptions that do not prevent visitors from accessing your website, but only affect your ability to make changes to your website, including, but not limited to, changes made through systems such as file transfer protocol (“FTP”) and e-mail; or
Power outages, telecommunications or digital transmission link interruptions or failures, malicious network attacks, network Service interruptions that are beyond our reasonable control or are not reasonably foreseeable by us, including, but not limited to, congestion or other failures.

Exceptions. For purposes of the Service Uptime Guarantee, downtime due to the following events will not be considered an Outage:

Service interruptions due to “Regular and Scheduled Maintenance,” defined as maintenance performed on the Global Name Server Infrastructure for which Customer is notified twenty-four (24) hours in advance. Email notifications regarding Regular and Scheduled Maintenance will be sent to the customer’s registered email address.
Service interruptions caused by custom scripting, coding, programming or configurations;
Service interruptions caused by the installation of third-party applications;
Service interruptions that do not prevent visitors from accessing your website, but only affect your ability to make changes to your website, including, but not limited to, changes made through systems such as file transfer protocol (“FTP”) and email; or
Service interruptions that are beyond our reasonable control or could not reasonably have been foreseen by us, including, but not limited to, power outages, telecommunications or digital transmission link outages or failures, malicious network attacks, network congestion or other failures.

We will determine, in our sole discretion, whether an event constitutes an Interruption.

Remedies. For the purposes of the Service Uptime Guarantee, if the customer becomes aware of an Outage, the customer may submit a call to our technical support services within five (5) days of the Outage beginning.

If either party is unable to perform its material obligations under this Agreement due to a Force Majeure Event, such obligations shall be suspended for as long as the Force Majeure Event continues, provided that the Force Majeure Event is remedied as soon as possible. “Force Majeure Event” means any event beyond the reasonable control of a party, including, but not limited to, acts of God, fire or flood, war, terrorism, government regulations, policies and actions enacted or implemented after the entry into force of this Agreement, or interruption or reduction in business, telecommunications or other services.

12. PRE-REGISTRATIONS

If you submit an application to pre-register a domain name, gyro.com.tr does not guarantee that the name will be secured for you or that you will have immediate access to the domain name if it is secured. gyro.com.tr may use third-party service providers for pre-registration services.

13. PROVISIONS SPECIFIC TO .BIZ REGISTRATIONS

The RDRP establishes the requirements under which claims that a domain name is not used for business or commercial purposes must be evaluated on a case-by-case basis through an ICANN-authorized provider. The Registry Operator does not review, monitor or otherwise verify whether a particular domain name is being used specifically for business or commercial purposes or whether the domain name is being used in accordance with the SUDRP or UDRP processes.

One-Year Registration. If you are registering a .BIZ domain name and choose to take advantage of special pricing for one-year registrations, we will renew your domain name for an additional year by charging your Payment Method on file at the end of the first year unless you notify us that you do not want to renew. You will be notified prior to the expiration date of your domain name and given the opportunity to accept or decline the one-year renewal. If you decide not to renew your one-year .BIZ domain name for a second year, your domain name registration will automatically transfer to us and we will acquire all rights to register that domain name. If you delete or transfer your .BIZ domain name during the first year, you agree that you will automatically be charged the second year renewal fees.

14. PROVISIONS SPECIAL TO .INFO REGISTRATIONS

One-Year Registration. If you register a .INFO domain name and choose to take advantage of special pricing for one-year registrations, we will renew your domain name for an additional year by charging your Payment Method on file at the end of the first year unless you notify us that you do not want to renew. You will be notified prior to the expiration date of your domain name and given the opportunity to accept or decline the one-year renewal. If you decide not to renew your one-year .INFO domain name for a second year, your domain name registration will automatically transfer to us and we will acquire all rights to the registration of that domain name. If you delete or transfer your .INFO domain name during the first year, you agree that you will automatically be charged the second year renewal fees.

15. PROVISIONS SPECIAL TO .MOBI REGISTRATIONS

Instant Mobilizer. This Agreement grants you a personal, revocable, non-exclusive, non-transferable, non-assignable, non-sublicensable license to use the Instant Mobilizer service (“Service”), subject to your compliance with the terms and conditions set forth. You shall not modify, edit, adapt or translate the Service in any way, in whole or in part. You shall not create derivative works based on the Service. You shall not rent, lease, dispose of or renew the right to use the Service to any third party. You may not transfer or renew the Service. If the traffic you receive from your use of the Service is so heavy that it compromises the provision of the Service to other end users, we and our licensors may, in our sole discretion, permanently or temporarily terminate your use of the Service. For the avoidance of doubt, the traffic generated by you must not exceed two thousand (2000) pages per day. You acknowledge and agree that the text "Instant Mobilizer by dotMobi" or equivalent will be placed in the footer of your site. In the event that a dotMobi domain name on which the Service is provided is transferred to another domain name registrar, the Service will be discontinued at that dotMobi domain name and will not be reinstated if the Service is not provided by the new registrar.

16. PROVISIONS SPECIFIC TO .NAME REGISTRATIONS

Defensive Registration. A Defensive Registration is a registration designed to protect trademarks and service marks and may be filed to prevent a third party from registering a derivative or imitation of a trademark. If the name you wish to register is under the Defensive Registration, you have three (3) options: (i) Register a derivative of the name, (ii) Object to the Defensive Registration, or (iii) Request Permission from the Defensive Registry. You may contact the Defensive Registrar listed in the GNR Whois database to request Permission to register a .NAME domain name. If the Defensive Registrar grants permission, they must confirm in writing that they have granted permission. If the Defensive Registrar does not grant permission, you may request to object to the Defensive Registration under the ERDRP.

Prohibits you from using your .NAME Email address to engage in spamming activities. You are limited to sending no more than five hundred (500) messages from your .NAME domain name at a time.

17. .REISE REGISTRATIONS SPECIFIC PROVISIONS

Domain Names registered as .REISE must be used for travel-related purposes, e.g. to perform a function or for the Internet, within six months of the initial Registration date.

18. .SEXY REGISTRATIONS SPECIFIC PROVISIONS

You will not permit content that is not suitable for viewing by a minor to be viewed from the .SEXY domain main or top-level directory. For clarity, content displayed in the .SEXY domain main or top-level directory will be immediately visible if the user navigates to http://example.sexy or http://www.example.sexy. No restrictions apply to content located on any other page or subdirectory of the .SEXY Registered Name.

19. COUNTRY CODE TOP LEVEL DOMAIN NAMES

You represent and warrant that you meet the eligibility requirements for each ccTLD you apply for. You also agree to be bound by all registry rules, policies, and agreements for that ccTLD, including, but not limited to, agreeing to indemnify the ccTLD provider, limiting the liability of the ccTLD provider, and requiring that disputes be resolved in accordance with the laws of that country.

(A) PROVISIONS SPECIFIC TO .AU REGISTRATIONS

.au Registrations (including com.au, net.au, and org.au) are governed by the following additional terms and conditions:

auDA.auDA means .au Domain Administration Limited ACN 079 009 340, the .au domain administrator. The Registrar acts as auDA’s agent, solely to the extent necessary, for the purpose of enabling AuDA to benefit from the rights and guarantees attributed to it under this Agreement.

auDA Published Policy. auDA Published Policies means the specifications and policies established by auDA and published from time to time at https://www.auda.org.au. You must comply with all auDA Published Policies, considering them to be part of this Agreement. In the event of any inconsistency between the auDA Published Policy and this Agreement, the auDA Published Policy shall prevail to the extent of such inconsistency. auDA Published Policies: (1) have mandatory terms and conditions applicable to all domain names; (2) the licenses and these terms and conditions are incorporated into this Agreement and made a part of it, (3) you are subject to and must comply with the .au Dispute Resolution Policy, and (4) auDA may delete or cancel the registration of a .au domain name.

auDA’s Liabilities and Indemnification. To the fullest extent permitted by law, auDA shall indemnify and hold harmless the Registrar from and against any direct, indirect, consequential, special, punitive or exemplary loss or damage (including, without limitation, use or omission) which may be incurred by the Registrar arising out of or in connection with the act or omission of auDA, its employees, agents or contractors. .au domain name. The Registrar agrees to indemnify and hold harmless auDA, its employees, agents and contractors from and against any and all claims or liabilities arising out of or in connection with the Registrar’s registration or use of the .au domain name. Nothing herein is intended to exclude the operation of the Trade Practices Act 1974.

(B) PROVISIONS SPECIFIC TO .CA REGISTRATIONS

You acknowledge and agree that unless you are a party to and agree to be bound by CIRA’s Registrant Agreement, the registration of your chosen domain name will not be valid upon your initial application to CIRA.

CIRA Approved Registrar. If the registrar is no longer a CIRA Certified Registrar, its certification as a CIRA Certified Registrar is suspended or terminated, or the Registrar Agreement between CIRA and the Registrar is terminated or expires, the registrar will promptly notify you. CIRA may post notice of such suspension, termination or expiration on its website, and CIRA may notify such registrar as it deems appropriate. In the event that the registrar is no longer a CIRA Certified Registrar, its certification as a CIRA Certified Registrar is suspended or terminated, or the Registrar Agreement between CIRA and the Registrar is terminated or expired, it is your responsibility to switch your Registrar to a new CIRA Certified Registrar within thirty (30) days of the earlier of the notice sent to you by (i) the Registrar or (ii) CIRA in accordance with CIRA’s then-current Registry PRP, except that if any of your domain name registrations were scheduled to expire within thirty (30) days of receipt of such notice, you shall have thirty (30) days from the anniversary date of the registrations to register with a new CIRA certified registrar and to renew such domain name registrations in accordance with the Registry PRP.

In the event that the funds paid by the registrar are insufficient in the CIRA Deposit Account to be used to pay the fees You acknowledge and agree that CIRA may, in its sole discretion, stop accepting domain name registration applications from the registrar, stop fulfilling domain name registrations, transfers, renewals, changes, and cancellations requested by the registrar, and stop fulfilling any other invoiced transactions requested by the registrar for which payment has not been made in full, and CIRA may terminate the Domain Name Registrar Agreement between CIRA and the Registrar.

.CA ASCII and IDN domain name variants are bundled and reserved for a single registrant. Registrants are not required to register all variants in a bundle, but all registered variants must be registered and managed with a single registrar. A registration fee is charged for each variant registered. In addition, when registering multiple .CA domain name (ASCII and IDN) variants in a bundle, your registrant information must be the same. If the variants are registered with other domain name registrars or if the registrant information does not match, this may result in an “unavailable” search result, a delayed or failed registration. If the information does not match, verification is required, which can take up to seven business days and may delay the availability of the domain name.

(C) PROVISIONS SPECIFIC TO .CN REGISTRATIONS

.CN is a restricted TLD extension – applications and domain name control are subject to real name verification by the People’s Republic of China. .CN registrations are therefore subject to the following additional terms:

Verification, Registration and Activation. If a domain name is not permitted to be registered by the Chinese government, if we determine that it is not permitted, if the Registry Operator and/or the 3rd party provider used for such services (at the discretion of each party), the registration application will not be successful. In such a case, the domain name will be deleted and you will be entitled to a refund as described below.

If permitted, the Registration may proceed, but if you fail to provide the valid documentation requested by us and the Registry (as described in the procedures during the registration process), the .CN domain name may not be activated (e.g., it may not be available for use on the Internet). z). The following are the accepted forms of documentation for verification:

China: Proof of residence, temporary residence, business license or establishment code document
Hong Kong/Macau: Proof of residence, driver’s license, passport or business license
Singapore: Proof of residence, passport or business license
Taiwan: Proof of residence, driver’s license or business license
Other Countries/Regions: Driver’s license or passport

The documents provided to us are used by us and shared with the Registry for real name verification purposes only and are subject to our Privacy Policy. By registering a .CN domain name, you expressly agree that your data may be stored on servers located in the United States or on servers located outside the People's Republic of China.

Refunds. Refunds for .CN Registrations are only permitted if (i) the applicable domain name registration is not permitted by the Chinese government; or (ii) you notify us of your cancellation request within the first 5 (five) days of the Registration stating any reason (if permitted by the Chinese government). For the avoidance of doubt, refunds will not be granted under any circumstances beyond the first 5 (five) days of the Registration date, including if real name verification is not successful or if the Chinese government determines that the domain name should not be registered after the Registration (and requests that we delete it).

(D) PROVISIONS SPECIFIC TO .JP REGISTRATIONS

Registration Restrictions. You represent and warrant that you have a home or business address in Japan. You acknowledge that certain domain names are reserved and may only be registered by certain parties. These include: (i) TLDs other than ccTLDs as determined by ICANN; (ii) geographic type .JP domain names defined as metropolitan, provincial, and municipal labels; (iii) names of primary and secondary level educational institutions; (iv) names of organizations related to internet administration;
